Terms of Service

These Terms of Service are an agreement between you and THINPLEX LIMITED (“Thinplex”, “we”, “us”). They govern your use of the Thinplex app and website and the services offered through them in Nigeria. By creating an account or using Thinplex you agree to these terms and to our Privacy Policy. If you do not agree, do not use Thinplex.

1. What Thinplex is

Thinplex is a technology platform and marketplace that connects tenants, guests, landlords, agencies and maintenance artisans and gives them tools to run long-term tenancies, shortlet stays and repair jobs — listings, search, applications, tenancy agreements and e-signing, bookings, rent and fee records, maintenance workflows, messaging and payments facilitated through a licensed processor. Thinplex is not a party to the tenancy, booking or job contract formed between users, and it is not an estate agency, a law firm, an insurer or a bank.

2. Eligibility and your account

You must be at least 18 and provide accurate, current information. Sign-in is passwordless: your email address plus a one-time code is your key, so keep your email address current and your device secure. You are responsible for activity on your account. One person may hold more than one role (for example landlord and tenant) on the same account, and you must use each role honestly.

3. Identity and business verification

To keep the marketplace trustworthy we may ask you to verify your identity — for example your NIN, a bank account name, or, for a business or agency, a CAC registration number — through our licensed verification provider, and a verification step may include a live selfie or ID photo. Some features (such as publishing a listing, going online as an artisan, or receiving payouts) may be unavailable until the relevant check passes. A “verified” badge reflects the check that was passed and is not a guarantee about a person’s conduct. Submitting false or someone else’s documents is grounds for immediate suspension.

4. Roles on Thinplex

Tenants and guests search, apply for long-term homes, book shortlet stays, pay rent and fees, and raise maintenance requests. Landlords and hosts list properties, review applications, sign tenancies, host stays and fund repairs. Agencies manage properties on behalf of owners and may collect and remit on their behalf. Artisans take on and complete maintenance jobs. Each of you is responsible for meeting the obligations of the role you use and for the accuracy of what you post.

5. Listings

If you list a property or unit you confirm that you have the right to let or host it and that your listing — price, photos, availability, rules and location — is accurate and lawful. Each unit is offered as either a long-term rental or a shortlet, and you must not misrepresent a property or list one you are not entitled to. We may review, decline or remove a listing that breaches these terms or the law.

6. Shortlet bookings

The price you see for a stay before you book is the price you pay, shown with the Thinplex guest service fee included and the refundable caution (if any) itemised. When a host accepts your request, or you book an instant-book unit, and payment is made, a booking contract is formed between you and the host. The cancellation policy shown before you book (flexible, moderate or strict) governs refunds. Hosts must honour confirmed bookings and provide the unit as listed; guests must leave the unit as they found it. A caution may be held for damage beyond fair wear and tear and released after checkout, less any itemised deduction the guest can review. Guests and hosts may review each other honestly after a stay.

7. Long-term tenancies

For long-term rentals, a tenant applies (and may consent to screening), an owner reviews and, if both agree, the parties enter a tenancy and e-sign it in the app. Thinplex provides tenancy-agreement templates, statutory-notice calculators and e-signing as convenience tools; they are not legal advice. Nigerian tenancy law — including the Recovery of Premises laws and state laws such as the Lagos State Tenancy Law 2011 — always prevails over anything generated in the app, and you should take professional advice on contested matters. Rent, renewals, rent reviews and end-of-tenancy settlement follow what is recorded in the tenancy and applicable law. E-signatures captured in Thinplex are intended to be binding between the parties under Nigeria’s electronic-transactions law. You rent one long-term home at a time: when you commit to a home by paying its move-in fees, we close your other open applications on Thinplex, so you and the owners you applied to all have a clear answer.

8. Fees

Thinplex charges service fees for the marketplace and tools it provides. For shortlet stays this is a guest service fee added to the guest’s price and a host service fee taken from the host’s payout; the guest’s all-in price and the host’s expected payout are shown before you commit. Agencies set a management commission with their owners. Fees in force are shown in the app at the point of the transaction and may change from time to time; we will show the current fee before you pay, and material changes are notified in the app. Third-party charges (such as a payment processor’s own charge, where applicable) are separate.

9. Payments, payouts and money we hold

Thinplex facilitates real payments and payouts through a licensed third-party payment processor. Rent, move-in, booking, caution, agency or legal fees and artisan funding are collected from payers and, after any applicable fees, paid out to the landlord, agency or artisan they are owed to. Some funds — such as a caution or money funded for a repair — are held and released according to the rules shown in the app (for example a caution held until the end of a tenancy, or repair funds released as the work is approved). Card details are entered on the processor’s checkout and handled by the processor. Thinplex is a technology platform, not a bank or licensed financial institution: money held pending release is not a bank deposit, earns no interest, and we do not provide banking services. Payouts reach you once you have passed verification, given valid payout details, and the processor completes the transfer.

10. Caution deposits and settlement

Where a tenancy or booking records a refundable caution, it is held against damage beyond fair wear and tear and unpaid charges. Depending on the arrangement, the caution is either held through Thinplex and released in the app, or held by the owner who is responsible for returning it. At the end of a tenancy or stay the caution is settled — returned in full or less an itemised deduction — and the other party may acknowledge or dispute it. Thinplex records the settlement both parties see; it does not adjudicate disputes, though we may help informally.

11. Agency management

An agency uses Thinplex to manage properties for owners it represents. Where an agency collects rent or fees, it does so under its arrangement with the owner, keeps its agreed commission and remits the balance to the owner. The agency is responsible for its authority to act for an owner and for its dealings with that owner; Thinplex provides the tools and records, not the mandate.

12. Maintenance jobs

For maintenance jobs, the amount an owner funds for materials and labour is held for that job and released in stages — for example materials to begin work, and labour once the job is completed and approved. Approved earnings are paid to the artisan’s payout account, less any applicable fees, after verification and a completed transfer. Artisans must actually hold any licence, qualification or insurance they claim on their profile, and must do work to a reasonable standard. Thinplex is not the employer of, and does not warrant the work of, any artisan.

13. Your content and conduct

You keep ownership of the photos, documents and messages you upload, and you grant Thinplex a licence to store and display them to the people they are shared with (for example your counterparty on the same tenancy, booking or job) so the service can work. You must not post content you have no right to share, misrepresent a property or yourself, harass or defraud other users, launder money, discriminate against anyone contrary to Nigerian law, or use Thinplex for any unlawful purpose. Reviews must be honest and about a real transaction.

14. Messaging and notifications

Thinplex includes in-app messaging between counterparties and sends service notifications (in-app, push, SMS and email) about your tenancies, bookings, jobs and payments. Notification settings let you tune non-essential notices; essential service and security notices may still be sent. Do not use messaging to send unlawful, abusive or unsolicited content.

15. Suspension, termination and account deletion

We may suspend or restrict an account that breaches these terms, fails verification, or poses a risk to other users, giving notice where practicable. You may stop using Thinplex at any time and may delete your account from Settings; deletion closes the account and anonymises your profile, while tenancy, booking and financial records that other users rely on, or that the law requires us to keep, are retained as records.

16. Disclaimers and limits on liability

Thinplex is provided “as is”. We do not warrant that a listing is accurate, that a tenant will pay, that a host or guest will perform, that an artisan’s work is defect-free, or that the service is uninterrupted or error-free. To the fullest extent Nigerian law allows, Thinplex is not liable for indirect or consequential losses or for disputes between users, and our total liability for any claim is limited to the Thinplex service fees you paid us in the 12 months before the claim. Nothing in these terms excludes liability that cannot be excluded by law.

17. Indemnity

You agree to cover Thinplex against claims, losses and costs arising from your misuse of the service, your breach of these terms or the law, or content you post — to the extent the claim is caused by you.

18. Disputes and governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Please talk to us first — most issues resolve through support. Failing that, disputes are subject to the courts of Lagos State, without prejudice to any mandatory statutory forum for tenancy or consumer matters.

19. Changes to these terms

We may update these terms as Thinplex evolves (for example when we add features or change how fees, payments or payouts work). We will update the date and version at the top and notify you of material changes in the app; where a change needs it we will ask you to accept the updated terms, and continuing to use Thinplex after a change takes effect means you accept it.
